Terms & Conditions

These Terms & Conditions (together with any Order Forms, exhibits, and addenda, and as amended from time to time, collectively, the "Agreement") form a legally binding agreement between you ("Customer" or "you") and Pyramyd Inc. ("Pyramyd," "we," "us," or "our"). By accessing or using the Sourcing Solution or any other Pyramyd offerings, including any related websites, platforms, services, features, tools, or applications (collectively, the "Services"), you acknowledge that you have read, understand, and agree to be bound by this Agreement. If you do not agree, you must not use the Services.

If you are entering into this Agreement on behalf of an organization or other legal entity, you represent that you have the authority to bind that entity to these Terms and Conditions. If you do not have such authority, or if you do not agree with these Terms and Conditions, you must not use the Services.

1. The Services

1.1 Provision of the Services

Pyramyd provides a software sourcing solution (the "Sourcing Solution") designed to help you research, compare, and evaluate technology solutions offered by third parties ("Vendors"). The Sourcing Solution is provided to you free of charge. You acknowledge, however, that other Pyramyd solutions, functionalities, or offerings ("Other Pyramyd Solutions") may not be free and may be subject to separate fees, terms, and conditions. Pyramyd reserves the right to introduce paid features or premium tiers to any part of the Services (including the Sourcing Solution) at any time.

1.2 Customer Data

"Customer Data" means any data, information, content, records, and files that you or your authorized users provide, enter, transmit, or make available through the Services. This includes, without limitation, information derived from or linked to your LinkedIn or other social media accounts, requirement data, prioritizations, solution preferences, and any other data associated with your use of the Services. Customer Data does not include Aggregated Data (as defined below), which is data that has been anonymized and aggregated by Pyramyd.

1.3 Data Use and Aggregation

You grant Pyramyd a worldwide, non-exclusive, irrevocable, royalty-free, fully paid-up, sublicensable right to access, use, process, copy, modify, aggregate, and anonymize your Customer Data to:

  • Provide and improve the Sourcing Solution and Other Pyramyd Solutions;
  • Enhance Pyramyd's datasets, methodologies, and analytic capabilities; and
  • Generate aggregated and anonymized data, insights, and reports ("Aggregated Data") that do not identify you or any individual or entity. Pyramyd may use Aggregated Data for any lawful purpose, including analysis, product development, commercialization, and sharing with third parties without restriction.

1.4 Intended Use; Costs

While the Sourcing Solution is provided at no charge, this does not imply that all Pyramyd services, including Other Pyramyd Solutions, are free. Pyramyd may introduce fees for certain features or solutions in the future and will notify you of any payment terms that apply. The Services and any output or recommendations are for informational purposes only, and you agree to use them at your sole discretion and risk.

1.5 Modifications to the Services

We may, at our sole discretion, modify, update, suspend, or discontinue the Sourcing Solution or Other Pyramyd Solutions (in whole or in part) at any time, with or without notice.

2. Your Responsibilities and Restrictions

2.1 Use of the Services

You must:

  • Use the Services in compliance with this Agreement and all applicable laws and regulations.
  • Provide accurate, complete, and lawful Customer Data. You are solely responsible for any Customer Data you provide and the consequences of using or permitting the use of such data in connection with the Services.

2.2 Restrictions on Data Export and Scraping

You will not, and will not permit others to:

  • Copy, scrape, or otherwise extract any data, information, or content from the Services beyond what is provided through the Services' intended user interface and functionalities.
  • Access, scrape, harvest, or systematically extract data from the Services via automated means (including, without limitation, bots, crawlers, spiders, scripts, or scrapers) unless expressly authorized in writing by Pyramyd.
  • Export or copy any data from the Services except through the designated "Create Reporting" functionality or any other authorized export feature provided by Pyramyd for your lawful and internal business use.

2.3 Other Restrictions

You will not and will not permit others to:

  • Reverse engineer, decompile, or disassemble the Services or any related software.
  • Sell, resell, rent, lease, license, sublicense, distribute, or otherwise commercially exploit the Services.
  • Use the Services for any unlawful or fraudulent purpose or to infringe upon the rights of others.
  • Use the Services to create a competitive product or service, or benchmark the Services against a competitive offering.
  • Introduce or transmit any viruses, malware, or other harmful code through the Services.
  • Attempt to gain unauthorized access to any systems or networks related to the Services.

3. Privacy

3.1 Privacy Policy

All Personal Information collected through the Services will be handled in accordance with our Privacy Policy, available at https://pyramyd.ai/privacy-policy, as updated from time to time. By using the Services, you agree to the practices described in our Privacy Policy.

4. Third-Party Offerings

4.1 Vendor Information

The Services may include information about third-party software products and Vendors. Pyramyd does not endorse, guarantee, or warrant any Vendor or Vendor offering. Any relationship or transaction you enter into with a Vendor is solely between you and that Vendor. Pyramyd is not responsible for the accuracy, completeness, or reliability of Vendor content or any claims made by Vendors.

4.2 Third-Party Products

Your acquisition or use of third-party products or services, and any exchange of data between you and third-party providers, is solely between you and such provider. Pyramyd is not liable for any disclosure, modification, or deletion of Customer Data resulting from access by such third-party products or providers.

5. Intellectual Property

5.1 Pyramyd Materials

Pyramyd and its licensors retain all ownership and intellectual property rights to the Services, including any software, tools, algorithms, designs, Aggregated Data, and any content or materials derived therefrom. Except for the limited license granted to you to use the Services, all rights not expressly granted are reserved.

5.2 Feedback

You may provide Pyramyd with feedback, suggestions, or ideas about the Services ("Feedback"). Pyramyd has the right to use, incorporate, and otherwise exploit any Feedback without restriction or obligation to you.

6. Confidentiality

6.1 Confidential Information

Either party ("Discloser") may disclose Confidential Information to the other party ("Recipient"). Confidential Information includes all non-public, proprietary information disclosed by Discloser, in any form, that is marked or identified as confidential or which should reasonably be understood as confidential due to its nature.

6.2 Obligations

Recipient will use Discloser's Confidential Information solely for the purposes of this Agreement and will not disclose it to any third party without Discloser's prior written consent, except as required by law. Recipient will protect Discloser's Confidential Information using reasonable measures at least as protective as those it uses to protect its own confidential information.

7. Disclaimer of Warranties

7.1 "As-Is" Basis

THE SERVICES, INCLUDING ANY INFORMATION, ANALYSIS, OR OUTPUT DERIVED FROM CUSTOMER DATA, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. PYRAMYD, ON BEHALF OF ITSELF AND ITS LICENSORS, DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.

7.2 Data Accuracy

While Pyramyd strives to provide reliable insights, it does not guarantee that any Vendor data, recommendations, comparisons, analyses, or other output is complete, accurate, or current. You are solely responsible for verifying the accuracy and suitability of information before making any decisions.

8. Limitation of Liability

8.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYRAMYD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED FIFTY DOLLARS (USD $50.00).

8.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PYRAMYD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, EVEN IF PYRAMYD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pyramyd, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, losses, expenses, damages, and costs (including reasonable attorneys' fees) resulting from your violation of this Agreement, your misuse of the Services, or your infringement of any intellectual property or other right of any person or entity.

10. Term and Termination

10.1 Term

This Agreement commences on the date you first access or use the Services and continues until terminated as set forth herein.

10.2 Termination by Pyramyd

Pyramyd may terminate or suspend your access to the Services at any time, with or without cause or notice, including if you violate any provision of this Agreement.

10.3 Termination by You

You may cease using the Services at any time. If you wish to terminate this Agreement, you may do so by discontinuing all use of the Services.

10.4 Effect of Termination

Upon termination, you must immediately cease all use of the Services. Any provision of this Agreement that, by its nature, should survive termination will survive (including Sections relating to Confidentiality, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law).

11. Miscellaneous

11.1 Governing Law; Venue

This Agreement is governed by and construed under the laws of the jurisdiction where Pyramyd is established, without regard to its conflict of laws principles. Any disputes arising from or related to this Agreement will be resolved in the state or federal courts located in that jurisdiction, and you consent to such jurisdiction and venue.

11.2 Force Majeure

Neither party will be liable for delays or failure to perform resulting from events beyond their reasonable control, including acts of God, natural disasters, labor disputes, internet disruptions, or regulatory changes.

11.3 Assignment

You may not assign this Agreement without Pyramyd's prior written consent. Pyramyd may freely assign or transfer this Agreement.

11.4 Notices

All notices under this Agreement must be in writing. Pyramyd may notify you via email or by posting notices on the Services. You will provide any notices to Pyramyd at:

11.5 Entire Agreement

This Agreement constitutes the entire agreement between you and Pyramyd regarding its subject matter and supersedes all prior or contemporaneous agreements, understandings, or communications.

11.6 Severability and Waiver

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in effect. No waiver of any term of this Agreement is a further or continuing waiver of such term or any other term.

11.7 Independent Contractors

The relationship between you and Pyramyd is that of independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or fiduciary relationship.

12. Changes to this Agreement

Pyramyd may amend these Terms and Conditions at any time by posting the revised terms or otherwise notifying you. The revised terms will become effective as of the date of posting or notice. Your continued use of the Services after the effective date of such changes constitutes your acceptance of those changes.
